About this contract
This contract is between Utility Revenue Systems (Pty) Ltd ("URS", "we", "us", "our") and the owner of the property where the meter is installed ("you", "Meter Owner").
By purchasing a URS prepaid sub-meter and/or registering a prepaid sub-meter with URS, you confirm that:
- you are the Meter Owner or are duly authorised to act on behalf of the Meter Owner; and
- you have read, understood and agreed to these terms and conditions.
These terms and conditions may be amended from time to time without prior notice. The latest version is available at gridix.co.za or on request via email, WhatsApp or SMS.
Who we are and what we do
URS is a vendor of prepaid electricity and water sub-meters and a provider of prepaid metering administration and vending services.
URS is not:
- a provider of electricity or water;
- an agent for Eskom, municipalities, utilities or similar service providers; or
- responsible for the manufacture, installation or uninstallation of meters.
URS prepaid sub-meters are configured to operate only on URS's vending platform unless otherwise agreed in writing.
Our services
URS provides prepaid metering administration services including:
- collection of prepaid electricity and water payments;
- payment of collected funds to the Meter Owner, less applicable service fees;
- token generation for prepaid electricity and water meters;
- transaction, consumption and usage reporting via an online portal;
- reasonable access to metering data; and
- support via telephone, WhatsApp and email.
Fees and charges
Fees and charges payable by the Meter Owner are determined by URS from time to time and are available on request.
URS will pay the Meter Owner the amount received for token sales during the preceding month by the second business day of the following month, less:
- service fees;
- monthly support fees per meter (excluding VAT); and
- any other amounts owed to URS.
URS may recover its service fee from either the Meter Owner or the tenant, as authorised by the Meter Owner.
URS does not charge for managing standard operational tokens, including clear tamper, clear credit and power limit tokens. URS may charge a fee for key change tokens where:
- the contract is terminated within 12 months of first vending; or
- the meter has not been activated.
Support fees cover vending availability and after-hours support and may be amended without prior notice.
Your responsibilities
You must ensure:
- prepaid electricity meters are installed by a registered electrician;
- prepaid water meters are installed by a qualified plumber;
- all installations comply with applicable laws, by-laws and regulations; and
- certificates of compliance are obtained and retained.
You must provide accurate, complete, legible and lawful information to URS.
You must not tamper with, interfere with or bypass any meter or SIM card. Any tampering voids warranties and may result in criminal prosecution.
You must ensure that tariffs provided to URS:
- are correct;
- are updated annually; and
- do not exceed any regulated or approved tariffs applicable to the property.
You are responsible for:
- settling all utility accounts;
- ensuring tenant collections align with utility obligations; and
- advising URS of shared electricity costs (e.g. common areas).
You must notify URS immediately of any change in ownership of the property or meter.
Login credentials must be kept secure and confidential.
URS meters are sub-meters and may only be installed downstream from Eskom or municipal meters.
Our responsibility and warranties
URS provides a 12-month manufacturer warranty for supported meter brands.
URS's total liability is limited to direct losses only and shall not exceed 150% of the service fees charged for the relevant meter(s) in the month preceding the claim.
Except where expressly stated, URS is not liable for:
- indirect or consequential losses;
- business interruption;
- loss of profit or revenue;
- legal fees, penalties or fines.
URS shall not be liable for losses arising from:
- tenant usage or access;
- incorrect tariffs supplied by the Meter Owner;
- meter tampering;
- utility interruptions, load shedding or power surges;
- circumstances beyond URS's control;
- third-party service providers.
URS does not warrant uninterrupted or error-free service.
Indemnity
The Meter Owner indemnifies and holds URS harmless against all claims, damages, losses, penalties, fines, costs and legal expenses arising from, including but not limited to:
- negligence;
- breach of these terms;
- non-compliance with laws;
- illegal, fraudulent or wrongful acts;
- meter tampering or circumvention;
- tenant claims;
- utility claims;
- tariff implementation; and
- electricity or water supply interruptions.
Privacy
URS collects, stores and processes personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA).

Duration and termination
This contract commences upon meter registration and continues indefinitely.
Either party may terminate the contract on 30 days' written notice to the other party.
Certain provisions survive termination, including privacy, indemnities and liability limitations.
Upon termination, the Meter Owner may request key change tokens to migrate to another vendor.
Breach
If a party breaches this agreement and fails to remedy such breach within 10 business days of written notice, the other party may exercise all legal remedies available.
General
This agreement constitutes the entire agreement between the parties and no representations outside this agreement are binding.
Failure to enforce any provision does not constitute a waiver.
Provisions are severable.
This agreement is governed by South African law.
Legal notices must be delivered to the addresses listed in this agreement.
